TERMS AND CONDITIONS

For the purposes of these Terms:

"Company", "we", "us" and "our" shall refer to Rooter Sports Technologies Private Limited, a private limited company incorporated under the Companies Act, 2013, bearing CIN No. U74999DL2016PTC300035, having its registered office at House No. 55, First Floor, East of Kailash, Community Center, New Delhi - 110065 India.

"Content" means all digital material made available on the Platform, including videos, micro-dramas, anime content, audio-visual works, images, text, graphics, and any other materials that Users may view or access.

"Grievance Officer" refers to the individual designated by the Company in accordance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

"Payment Partner" means third-party payment gateways or processors used to process payments for Subscriptions.

"Personal Data" means any data about an individual who is identifiable by or in relation to such data, including mobile numbers and any other personal information collected from Users, as defined under applicable data protection laws in India.

"Subscription" means any paid plan or offering that provides a User with access to certain Content, features or services on the Platform, for a specified period and subject to applicable fees.

"Third Party Content" means any content, including advertisements, links, offers, materials or services, that is provided, hosted or made available by third parties on or through the Platform.

"Users" means any person accessing or using the Platform, whether registered or unregistered, including visitors.

Words in the singular include the plural and vice-versa; references to any gender include all genders; and references to "he", "she" or "they" shall be interpreted interchangeably. Headings are for convenience only and shall not affect interpretation.

By accessing, browsing, installing, or using the Platform in any manner, the User is deemed to have read, understood, and unconditionally accepted these Terms. Such access or use constitutes automatic, immediate, and legally binding acceptance of these Terms, without the need for any further action or affirmative confirmation by the User.

If the User is accessing the Services on behalf of a business or entity, such entity shall be bound by these Terms, and the User represents that they have authority to bind such entity.

Access to certain Services, Content or features of the Platform may be subject to age restrictions and may not be available to all Users. Content available on the Platform may be classified according to age-appropriateness, including the following categories:

• U – Unrestricted access; suitable for all age groups.
• U/A 7+ – Suitable for Users aged 7 and above; parental guidance recommended for younger viewers.
• U/A 13+ – Suitable for Users aged 13 and above; parental guidance recommended for younger viewers.
• U/A 16+ – Suitable for Users aged 16 and above; parental guidance recommended for younger viewers.
• A – Adult content; restricted to Users aged 18 years and above.

Users agree to adhere to and respect the maturity ratings and content classifications displayed on the Platform. Users who permit minors to access the Platform shall ensure appropriate supervision and compliance with the applicable content categories.

By creating an account and accessing the Platform, the User represents and warrants that they are at least the age of majority in their jurisdiction and are legally capable of entering into binding contracts. For Users located in India, the age of majority is eighteen (18) years. If the User is a minor, it shall be deemed to be construed that the User is accessing and using the Platform with the consent and under the supervision of a parent or legal guardian, who has read and agreed to these Terms on behalf of the User.

To access and use the Platform, Users must create an account through mobile number authentication (OTP) or any other login method enabled by the Platform, after agreeing to the Terms.

The User shall ensure that all information provided at the time of registration is accurate, complete and up to date. If there is any change in the information, the User must update the account information without delay through the change mechanisms provided on the Platform.

The User is solely responsible for managing, securing, and maintaining the confidentiality of the login credentials of their account and for all activities occurring under their account. Users shall not disclose, lend, transfer, or otherwise make their login credentials available to any third party. The User shall be liable for any loss or damages arising out of inadequate account management, unauthorized use, or third-party access. The Company shall not be responsible for any such misuse or consequences thereof.

The User hereby agrees and undertakes that the User is responsible for any activity that occurs on the account of the User. By allowing another person to access the Platform through their account, the User agrees that such persons is acting on behalf of the User and that the User shall be bound by the actions or omissions of such person.

The User shall not impersonate any individual or entity, adopt or use any offensive, misleading, or inappropriate usernames, or otherwise engage in conduct that infringes upon the rights of any third party. The Company reserves the right, at its sole discretion, to rename, remove, restrict, or reassign any username in order to prevent impersonation, protect user safety, or ensure compliance with these Terms.

The Company may, at its sole discretion, suspend, restrict, terminate any User account or place any User account on hold, in order to protect the User, the Company, or other Users from suspected fraud, misuse or unlawful activity. In the event the User suspects that any third party has gained unauthorized access to their account, the User shall immediately notify the Company through the reporting mechanism or contact channel made available on the Platform.

We reserve the right to determine whether to accept or reject the registration of a person who applies for registration as User to use the Services.

The Platform may offer both (i) free access to certain Content, which may include advertisements; and (ii) paid Subscription plans that provide access to additional or enhanced Content, features or services.

Free Content may be supported by advertisements, promotions, sponsored messages, or commercial placements displayed before, during, or after Content, or elsewhere on the Platform. By accessing or using the Platform, the User expressly consents to the display and delivery of such advertisement content.

The Platform may include third-party advertisements, promotions, external links, or offers that are not owned, operated or controlled by us. We do not endorse, guarantee, or assume any responsibility for any such third-party contents, products, services, information, or websites. Any interactions, transactions, or communications between the User and such advertisers are solely between the User and the relevant third party, and we disclaim all liability for any resulting loss, damage, or claims.

We may from time to time offer free trials for one or more Subscription plans for such duration and on such terms as we may decide in our discretion. Eligibility for a free trial, as well as the specific Content or features available during such free trial period, may vary and may be modified, suspended, or withdrawn at any time without prior notice.

The Platform may offer multiple Subscription plans, each with its own features, duration, pricing and eligibility conditions. The details of the then-available Subscription plans shall be displayed on the Platform.

By subscribing to any Subscription plan, the User authorizes us and our Payment Partners to process payments using the payment method selected by the User. Such processing of payments will be subject to the terms and conditions of the relevant Payment Partner, and we shall not be liable for any error, delay, failure, or security breaches arising from payment processing.

Certain Subscription plans may renew automatically unless cancelled by the User, subject to the User's express, affirmative consent to such auto-renewal and in compliance with applicable laws. The User may manage or cancel auto-renewal through the account settings on the Platform or in the manner prescribed by the relevant app store or payment interface.

If the User upgrades or changes their Subscription plan, the new subscription plan will commence after the expiry of the current plan's validity period, unless otherwise specified on the Platform.

The User may cancel a paid Subscription plan at any time through the account settings or by following the instructions provided on the Platform. However, cancellation shall become effective at the end of current billing period, and the User shall continue to have access to the Subscription benefits until such period expires.

Subscription fees once paid are generally non-refundable and non-transferable, except in the following circumstances:

• where a refund is required under applicable laws; or
• where expressly permitted under any refund policy that may be notified on the Platform; or
• where the Platform fails to provide access to the subscribed services for a prolonged period due solely to our fault, in which case any refund/credit shall be in accordance with our refund policy (if any).

We reserve the right to modify, discontinue, or replace one or more Subscription plans at any time. Such modifications shall not affect fees already paid for the current period of an active Subscription, unless the change is mandated by applicable law. In the event of any material modification to the Subscription plan, the same shall be communicated to the User by posting such information in a prominent location on the Platform.

The Users shall, whether directly or indirectly, refrain from engaging in any conduct that violates these Terms, applicable laws, or the integrity and security of the Platform. Without limitation, the Users shall not, whether directly or indirectly:

• use the Platform for any unlawful, unauthorized, fraudulent or malicious purpose;
• attempt to scrape, reproduce, redistribute, decompile, modify, reverse engineer, alter, archive, or otherwise tamper with the Platform or any part thereof for the purposes including but not limited to harming the Platform, any third party or for the purpose of illegally imitating the Services of the Platform or for other illegal purposes;
• attempt to circumvent any security or access control measures, or gain unauthorized access to any network, system, data or user account associated with the Platform;
• introduce, upload, transmit, disseminate any malicious code, virus, worm, Trojan horse, spyware, or other harmful programs intended to disable, damage, overload, interfere with, or hijack the Platform, its infrastructure, or any user devices;
• violate or infringe any intellectual property rights, personal information, privacy rights, or any other proprietary or legal rights of the Company or any third party;
• engage in any conduct that is defamatory, discriminatory, abusive, harassing, or that harms the reputation of the Platform, other Users, the Company or any third party, or which adversely affects the reputation, goodwill, or operation of the Platform;
• engage in any activity or action which we deem, in our reasonable opinion to be inappropriate, unsafe, unethical, or inconsistent with the intended use or spirit of the Platform;
• upload, publish, display, transmit, or share any content that is prohibited under applicable law, including but not limited to content that:
  • belongs to another person and to which the User does not have any right;
  • is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating or encouraging money-laundering or gambling, or otherwise inconsistent with or contrary to applicable laws;
  • is harmful to children;
  • infringes any patent, trademark, copyright or other proprietary rights;
  • violates any law for the time being in force;
  • deceives or misleads the addressee about the origin of such content, or knowingly and intentionally communicates misinformation or information that is patently false or misleading in nature but may reasonably be perceived as a fact;
  • impersonates another person;
  • contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of the Platform or any computer resource;
  • is patently false and untrue, and is written or published in any form, with the intent to harass or mislead the recipient or for causing any injury to any person; or
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence or is insulting other nation.

We reserve the right to suspend or terminate any User account, without prior notice or warning, for violation of these Terms or for reasons mandated under applicable laws. We may also seek compensation, damages, or other remedies from the User for any loss or harm caused to the Platform, its systems, the Company, or other Users as a result of such violation.

All rights, title and interest in and to the Platform, including all Content, software, code, graphics, text, layout, design elements, logos, trademarks, service marks, features, functionalities, and all other proprietary material, are and shall at all times remain the exclusive property of the Company. Users acknowledge that viewing or accessing the Content does not grant them any rights, title, or interest in the Content, Platform, or any other intellectual property rights of the Company.

Subject to these Terms, the User is granted a limited, revocable, non-exclusive, non-sublicensable and non-transferable license only to access and view the Content solely for personal and non-commercial use. The User shall not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, create derivative works from, or otherwise attempt to extract the source code of any Platform Software, except to the limited extent permitted under applicable law.

All intellectual property rights related to the Content provided on the Platform belongs exclusively to the Company (unless otherwise expressly stated). No rights are transferred or assigned to the User by virtue of accessing or using the Platform.

Except as expressly permitted by the Company, the User shall not download, copy, store, reproduce, distribute, publicly display, perform, transmit, publish, sell, license, adapt, translate, or create derivative works of any Content, nor shall the User exploit the Content in any manner for commercial or non-commercial purposes.

Certain Content on the Platform may be sponsored, co-branded, or created in collaboration with third-party brands. Such Content may include or display trademarks, brand names, logos, or other brand identifiers belonging to third parties. Users shall not use, reproduce, or exploit any such third-party intellectual property rights without the prior written consent of the Company. Further, Users acknowledge that such third-party brands may impose terms and conditions governing their branded Content, and Users agree to comply with any such terms as may be made available on the respective brand's website or communicated by the Company.

We may, at our sole discretion, suspend, restrict, or terminate the User's access to the Platform (in whole or in part), with or without prior notice, for any reason including, but not limited to:

• any breach or violation of these Terms or any other Policies issued by the Company by the User;
• detection of fraudulent, abusive, or suspicious activity associated with the User's account;
• operational, security, or technical requirements necessitating such action; or
• any direction from a competent authority, court order, law enforcement agency, or regulatory body requiring such suspension or termination.

The User may discontinue use of the Platform at any time by deleting their account in the manner specified on the Platform. Where the User has an active Subscription Plan, discontinuation of use or account deletion will not entitle the User to any refund of Subscription fees already paid, except as expressly provided under these Terms or under any refund policy separately notified by the Company.

Notwithstanding the termination by either Party, we may retain certain User data as required by applicable law or for legitimate business purposes such as dispute resolution and enforcement of these Terms, in accordance with our Privacy Policy.

We may, at our discretion, suspend, interrupt, or restrict the provision of all or any part of the Services, without prior notice to the User, in any of the following circumstances:

• where any failure, malfunction, outage, disruption, or instability occurs in the network, servers, systems, communication lines, or other technical resources related to the Platform;
• where the provision of Services becomes impossible, unsafe, or impracticable due to events of force majeure, including but not limited to storms, heavy rains, floods, lightning, earthquakes, fires, natural disasters, wars, civil unrest, riots, strikes, labour disputes, acts of terrorism, accidents, explosions, epidemics, pandemics, or any other circumstance beyond our reasonable control; or
• where we determine, in our reasonable opinion, that suspension or interruption is necessary for operational, security, legal, regulatory, or any other compelling reason

We shall not be liable for any loss, damage, or inconvenience suffered by the User as a result of any suspension, interruption, or restriction of the Services undertaken in accordance with this Section.

Restoration of the Services following any suspension or interruption shall occur at our sole discretion. We make no assurances or commitments regarding the timing or manner in which the Services will be restored and may prioritize restoration based on operational, technical, or security considerations.

The Platform and all Content are provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory. We expressly disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and any warranties arising from course of dealing, usage, or trade practice. Users acknowledge that they may encounter Content that is inaccurate, objectionable, unsuitable for minors, or otherwise unsuited to their expectations, and agree to use the Platform at their sole discretion and risk. The limitations and exclusions in this Section apply to the maximum extent permitted by applicable law.

We, and our directors, employees, agents, representatives, suppliers, and partners, do not warrant or guarantee that:

• the Platform will operate uninterrupted, be available at all times, or function in any particular manner;
• the Platform will be secure, error-free, or free from defects, bugs, or interruptions;
• any identified defects or technical issues will be corrected; or
• the Platform, its servers, or any Content will be free of viruses, malware, or other harmful components.

Nothing in these Terms shall operate to disclaim any warranty, right, or obligation that cannot be disclaimed under applicable law.

We may add, remove, modify or replace any Content or feature at our discretion for business, operational, legal or technical reasons, and such change shall not, by itself, entitle the User to any refund or compensation, except as expressly provided under these Terms or as required by applicable law.

The quality, resolution and speed of streaming of the Content may vary based on factors such as the User's device, internet bandwidth, network conditions, location and the format of the Content. To reduce buffering or interruptions, we may automatically adjust streaming quality or resolution. We do not guarantee uninterrupted streaming or any particular resolution (including HD or higher), especially where issues are caused by the User's network, device, or third-party service providers (such as telecom or internet service providers).

We shall not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages arising out of or relating to the User's access to, use of, or inability to use the Platform or the Content, except to the extent such damages result directly from our willful misconduct or gross negligence.

Without prejudice to Section 11.6, we shall not be liable for any loss or damage arising from or relating to:

• loss of profit, revenue, goodwill, business opportunity, or data;
• any inability of the User to access or use the Platform or any Content;
• any modification, suspension, interruption, or discontinuation of the Platform or any of its features;
• any action taken by third-party rights holders in relation to a User's use of the Platform or Content; or
• any errors, inaccuracies, omissions, delays, or defects in the Platform's operation, underlying technology, or any Content.

We shall not be liable for any disputes, communications, transactions, arrangements, or interactions between Users or between a User and any third party (including advertisers, sponsors, or external service providers) connected to or arising from the use of the Platform.

The User hereby agrees to indemnify and hold harmless the Company and/or its assigns, affiliates and their respective officers, directors, employees, representatives, licensees, authorized designees, successors and assigns ("Indemnified Personnel") from any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and costs) that such Indemnified Personnel may incur as a result of or arising from:

• any of the User Content submitted, uploaded, posted, or otherwise made available by the User;
• any breach or violation of these Terms or any applicable Policy by the User;
• any infringement, misappropriation, or violation by the User of any third party's intellectual property rights, privacy rights, publicity rights, or other proprietary or legal rights, by the User; or
• any violation of applicable laws of India or any country wherein the Platform is being used and accessed by the User.

This indemnity shall survive the termination or expiry of these Terms and shall continue to apply notwithstanding the User's cessation of use of the Platform.

With respect to any Third-Party Content, our role is limited to providing a technology platform and hosting services that enable such Third-Party Content to be transmitted or made accessible directly by such third parties to Users. Third-Party Content may also include material in the public domain or material that third parties are otherwise lawfully permitted to upload or share on the Platform.

All Third-Party Content is uploaded, transmitted, or made available on the Platform directly by the relevant third parties, without our prior review, verification, or active editorial control. The User acknowledges that, in relation to such Third-Party Content, our role is that of an "intermediary" as defined under the Information Technology Act, 2000 and the rules framed thereunder.

As an intermediary, we do not endorse, control, or assume responsibility or liability for any Third-Party Content made available on the Platform, including content that may be alleged to infringe intellectual property rights, be defamatory, obscene, illegal, or otherwise objectionable. Our responsibility shall be limited to fulfilling our statutory due-diligence, grievance-redressal, and takedown obligations under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, upon receiving actual knowledge or a valid legal request in the manner prescribed under applicable law.

The Company may amend, modify, change, update, revise, or modify these Terms or any part thereof at any time at its sole discretion to ensure effective and efficient deployment of the Platform. The Company will update the "Last Updated" date at the top of these Terms which will reflect the effective date of such amended Terms.

Continued use of the Platform after changes to the Terms constitutes acceptance of the revised Terms by the User.

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we shall appoint a Grievance Officer and prominently display the name and contact details of such Grievance Officer on the Platform.

The details of our current Grievance Officer are set out hereinbelow:

Users may submit grievances or complaints relating to the Platform, the Content, User Content, or any alleged violation of these Terms or applicable laws, by contacting the Grievance Officer through the details provided on the Platform.

The Grievance Officer shall acknowledge receipt of a grievance within 24 (twenty-four) hours of receiving it and shall endeavour to resolve or dispose of such grievance within 15 (fifteen) days from the date of receipt, or within such other timeline as may be prescribed by applicable law.

Where any reported content prima facie involves non-consensual intimate imagery, content involving a child, impersonation, or any other category requiring expedited action under applicable law, we shall remove or disable access to such content within 24 (twenty-four) hours of receiving the complaint, to the extent required under law.
